1. Who we are

These Terms govern your use of Buildex ("we", "us", "our"), a change-order pricing tool operated by Buildex. By creating an account or using the service, you enter into a binding agreement with Buildex.

2. Acceptance

By accessing or continuing to use Buildex, you agree to be bound by these Terms. If you do not agree, do not use the service. If you use the service on behalf of an organization, you confirm you have authority to bind that organization.

3. The service

Buildex provides web-based tools for contractors to create line-item change orders, apply markup rules, and export branded PDF documents. Features and limits depend on your selected plan or credit pack.

4. Acceptable use

You must not misuse the service. In particular, you must not:

  • Use the service for unlawful purposes, fraud, or spam;
  • Infringe intellectual property or other rights of any party;
  • Interfere with the security or integrity of the service, including by uploading malware, probing, or scraping;
  • Reverse engineer, resell, or redistribute the service without our written consent;
  • Circumvent plan limits, credit metering, or other technical restrictions.

5. Accounts

You are responsible for keeping your login credentials confidential and for all activity under your account. Provide accurate information and keep it up to date.

6. Intellectual property

Buildex and all related software, documentation, and branding remain our property. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan. You retain ownership of the change-order content you create; you grant us a limited license to host and process that content solely to provide the service.

7. Payments, subscriptions, and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing frequency, renewal, cancellation, tax, and refund mechanics are governed by Paddle's Checkout Buyer Terms. Subscriptions renew automatically until cancelled. You can cancel at any time from your billing page; cancellation takes effect at the end of the current billing period.

9. Service availability

We work to keep the service available and reliable but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service is capped at the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where it cannot lawfully be excluded.

11. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious violations of our acceptable use rules. You may stop using the service at any time. On termination, your right to use the service ends; we may delete your data after a reasonable retention period.

12. Changes

We may update these Terms from time to time. Material changes will be communicated via the service or by email. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Buildex is established, without regard to conflict-of-law principles. Disputes will be resolved in the competent courts of that jurisdiction.
